Corporate Counsel

The Role 

Sunbit, Inc. is a rapidly growing FinTech startup expanding our Legal & Compliance function. We are looking for an energetic Corporate Counsel who will work alongside our General Counsel on handling various transactional legal and merchant compliance matters. These tasks range from drafting, reviewing, and negotiating various merchant and vendor contracts, conducting vendor due diligence, to reviewing marketing and training materials, building a robust vendor management system, and researching federal and state laws and regulations. A successful candidate will work directly with the company’s General Counsel to quickly gain hands-on experience on a wide variety of legal and regulatory compliance matters affecting consumer credit, electronic payments, vendor management, marketing, advertising, and general business and corporate matters.

Job Description 

  • Manage merchant agreement templates
  • Review and negotiate various merchant and vendor agreements
  • Conduct vendor due diligence
  • Build the vendor management system
  • Oversee merchant compliance matters
  • Conduct legal research in the areas of corporate governance, consumer finance, electronic payments, retail finance, consumer privacy, marketing and advertising, social media, TM, etc.
  • Review various marketing, sales and merchant training materials
  • Handle other projects as requested


Experience/Skills Required 

  • J.D. or equivalent law degree; admitted to the Bar and licensed to practice law
  • Demonstrated history of academic excellence
  • 2-5 years of work relevant experience preferred
  • Experience drafting, reviewing and negotiating vendor agreements required
  • Prior transactional, merchant management, banking, retail, corporate governance, consumer credit, or compliance experience preferred but not required
  • Prior vendor management, contract management, or contract review experience preferred but not required
  • Ability to identify, understand, and respond to business and technical requirements
  • Sound and practical legal and business judgment and critical thinking
  • Demonstrated ability to work autonomously as well as part of a team
  • Resiliency, especially under tight deadlines and while managing multiple projects
  • Ability to manage chaos, ambiguity, and complexity in a detailed, organized way
  • Excellent organizational, time-management, and multi-tasking skills
  • Excellent analytical and problem-solving skills
  • Excellent written and verbal communication skills
  • Strong research skills
  • Ability to travel if needed for the business
